Real Estate Development & Investment
Nancy works in an in-house capacity with real estate developers and investors.
As a development team member, she participates from the acquisition phase all the way through property management or re-sale, including entitlements, financing, corporate strategy and documents and closing.
She works with investors to create loan documents that protect their interest in the property and spell out their rights to repayment in the event of default.
Commercial Real Estate: Purchases, Sales, Leases
Purchase and Sale: Nancy works with buyers, sellers and brokers to effectuate a smooth transaction. She customizes contracts to fit the terms of the deal, which can include such challenges as obtaining government approvals and financing, and resolving title issues. As due diligence and lender review progresses, Nancy works with the parties and their professionals to resolve issues, such as ownership or encumbrance issues.
Her representation includes preparing the corporate documents, including entity creation, to achieve necessary lender approval and consummation of the deal.
Lease: Commercial Landlords and Tenants, Residential Landlords
Commercial Landlords- Draft commercial leases that comply with the Florida law and protect their interest in their property. Her extensive experience means she is familiar with issues that arise in landlord-tenant relationships, such as uses, common areas, repair and maintenance obligations, code violations, build-out and enforcement of performance obligations.
Commercial tenants- negotiate and revise proposed leases, assist clients in interpreting, complying and responding to landlords in existing national or regional shopping center leases.
Purchase & Sale of Business
Nancy works with buyers, sellers and brokers to effectuate a smooth transaction. She customizes contracts to fit the terms of the deal, which can include industry practices and requirements, financing, seller compensation, post-closing obligations of the parties (such as non-competes, training). As due diligence and lender review progresses, Nancy works with the parties and their professionals, such as accountants, to resolve issues.

General Real Estate: Purchases, Sales, Leases
Represents commercial property owners in resolving issues relating to real estate, such as refinancing, zoning/entitlements, easements and encroachments. Assist in portfolio management, creation of documents such as pre-closing and post-closing occupancy agreements, resolution of issues arising in a probate or guardianship contest.
